End User License Agreement
END USER LICENSE Understanding
This End User License Understanding (futurity "the Agreement")
is a legal agreement betwixt you and EIZO CORPORATION
(future "the Company") of the software product (time to come
"the Software") specified in Provision 1 of the Agreement.
By installing the Software, you are like-minded to exist bound past
these terms and weather condition in the Understanding. If y'all do not
agree with these terms and weather condition, please practice not install,
copy or use the Software.
1. DEFINITION: The Software in the Agreement includes
a program or a data file made and provided past the
Visitor, and may include associated media, printed
materials and any online or electronic documentation,
all of which are provided by the Company.
2. GRANT OF LICENSE: The Company grants to yous a
not-exclusive right to use the Software on an unlimited
number of personal computers provided that yous remain
responsible for the compliance of each user with the
terms and weather hereof. The Visitor reserves
all rights not expressly granted under the Agreement.
iii. OWNERSHIP OF INTELLECTUAL Property:
The Company retains all rights, championship and ownership to
the Software,and the copyright and any other intellectual
properties concerning the Software.
four. Re-create RESTRICTIONS: You may non copy the Software,
except that y'all may make a single re-create of the Software
for your own backup or archival purposes just. You
may non use the backup re-create for any purpose other than
reinstalling the Software in the computer mentioned
Yin Provision 2. You are held legally responsible for any
copying or copyright infringement which is caused or
encouraged past your failure to abide past the terms of
this restriction.
v. TRANSFER RESTRICTIONS: You may not allow the
Software to be used by anyone else through transfer,
rent, lease or whatever other ways, whether with compensation
or not, without the prior written consent of the Company.
6. MODIFICATION AND REVERSE Engineering
RESTRICTIONS: You may not reverse engineer,
detach, decompile, alter, accommodate, translate,
or create derivative works based on the Software, delete
or modify the intellectual belongings mark in the Software
without the prior written consent of the Company.
7. TERMINATION: This Agreement is effective until terminated.
The Agreement will cease automatically, without discover
from the Company and become null and void if you fail to
comply with any provisions of the Agreement. Upon
termination, the Company may request you to destroy the
Software and all copies of the Software. In improver to,
or instead of the asking mentioned to a higher place, the Company may
asking you lot to destroy the Software and all asking mentioned
above, the Company may merits damages confronting you.
8. LIMITED WARRANTY: The Company disclaims all
warranties, express, implied, statutory or otherwise, including
without limitation, the implied warranties of merchantability,
fettle for a detail purpose, and nonexistence of virus
with respect to the Software.
9. LIMITATION OF LIABILITY: In no event, shall the Company
be liable for any incidental, indirect, special or damages
consequential damages (including, without limitation,
damages for loss of business profit, business intermission,
loss of business data, or any other pecuniary loss)
arising out of the use or inability to apply the Software or in
any connection with the Software, except that such damages
are acquired past the Company'south intention or gross negligence.
x. GOVERNING LAW AND JURISDICTION:
(ane) This Agreement shall be construed in accordance with
the laws of Nippon.
(two) Any legal action to enforce or translate the terms of
this Understanding shall be brought exclusively in the
Tokyo District Courtroom,Tokyo, Japan.
